Last Updated: January 1, 2025This Artwork Submission Agreement (“Agreement”) (“Release Form”) governs the submission of any artwork or materials to the "Company" (Duelleum Trading Card Game) (hereafter referred to as "Kranowski Studios LLC" or "Company") by the artist or creator (“Artist”). By submitting any artwork to Kranowski Studios LLC, the Artist acknowledges and agrees to the following terms and conditions:
1. Ownership of Submitted Artwork:
Upon submission of any artwork to “Company”, whether via electronic transmission, physical submission, or otherwise, the Artist acknowledges and agrees that they are transferring all rights, title, and interest in and to the submitted artwork to Kranowski Studios LLC. The Artist further agrees that the "Company" shall be the sole and exclusive owner of the artwork from the moment of submission, and no ownership, copyright, or intellectual property rights in the artwork shall remain with the Artist.
2. No Compensation:
The Artist understands and agrees that submission of artwork to “Company”will not result in any form of compensation or remuneration from “Company”to the Artist. By submitting artwork, the Artist waives any right to request or claim payment or royalties for any use or future use of the artwork by “Company”, including but not limited to card design, promotional materials, marketing, product creation, and other business-related purposes as determined by the “Company”.3. Grant of License and Usage Rights:
The Artist grants the "Company", and its affiliates, subsidiaries, agents, employees, and contractors, a perpetual, irrevocable, royalty-free, and worldwide license to use, reproduce, display, distribute, modify, adapt, and create derivative works based upon the submitted artwork in any and all media, including but not limited to card designs, marketing materials, promotional content, advertisements, product packaging, digital and print media, websites, social media, and any other business ventures related to the "Company". The Artist acknowledges that the "Company" may use the artwork for commercial purposes without any further consent or compensation required from the Artist.
4. Right to Modify and Adapt Artwork:
The "Company" reserves the right to alter, modify, enhance, and adapt the submitted artwork in any manner it deems necessary, including but not limited to resizing, cropping, or changing elements of the artwork to meet its business needs. The Artist agrees to provide the "Company" with the full, unfettered right to make such modifications without restriction or limitation.5. No Right to Approve Final Use:
The Artist acknowledges and agrees that the "Company" has the sole discretion to determine how and where the submitted artwork is used. The Artist has no right to approve or disapprove of any final design, use, or adaptation of the artwork by the "Company", and the "Company" shall have no obligation to provide any feedback or request for approval prior to use.6. Artist Representation:
The Artist represents and warrants that the submitted artwork is their original creation and does not infringe upon the rights of any third party. The Artist further represents that they have full authority to transfer ownership and license rights in the artwork to the "Company" as outlined in this Agreement.7. Indemnification:
The Artist agrees to indemnify, defend, and hold harmless the "Company" and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with the submission of the artwork, including but not limited to claims of infringement of third-party intellectual property rights.8. No Obligation to Use:
The "Company" is under no obligation to use the submitted artwork for any particular purpose, nor is the "Company" required to use the artwork at all. the "Company" retains the right to reject or ignore any submitted artwork for any reason without further obligation to the Artist.9. Governing Law and Dispute Resolution:
This Agreement shall be governed by and construed in accordance with laws of the State of Minnesota, without regard to its conflicts of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in courts located in Carver, Minnesota, and the Artist hereby consents to the jurisdiction and venue of such courts.10. Entire Agreement:
This Agreement constitutes the entire understanding between the Artist and the "Company" with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral, regarding the submission and use of artwork. Any modifications to this Agreement must be in writing and signed by both parties.11. Protection for Minors:
If the Artist submitting the artwork is under the age of 18, the undersigned parent or legal guardian (hereinafter "Guardian") hereby affirms that they are the parent or legal guardian of the Artist and that they have full authority to enter into this Agreement on behalf of the minor. The Guardian further acknowledges and agrees to release, indemnify, and hold harmless the "Company" and its affiliates, subsidiaries, agents, employees, and contractors from any claims, demands, liabilities, damages, losses, costs, or expenses arising out of or related to the minor’s submission of the artwork. The Guardian hereby consents to the submission of the artwork by the minor and agrees to the full transfer of rights to the "Company" as outlined in this Agreement. The Guardian also acknowledges that they have read and fully understand the terms of this Agreement and agree to all its provisions as they apply to the minor.12. Contact Information

Pre-Order Terms And PolicyBy submitting this pre-order (purchase order), you acknowledge and agree that this transaction pertains to a pre-order for the Duelleum Trading Card Game (TCG), published by Kranowski Studios LLC. This order is placed with the understanding that the product is not currently available for immediate shipment and is subject to the estimated release date provided by Kranowski Studios LLC.Development Product:
This pre-order is treated similarly to a crowdfunding campaign, such as Kickstarter, where the product is still in development, and there is a risk that the final product may differ from what is anticipated, including changes in design, features, release dates, or availability. As such, by placing this order, you agree that there are no guarantees regarding the product's final form or delivery time.Payment Terms:
For pre-orders, the full amount is requested at the time of placing the order. Payment for the entire pre-order amount is required within 30 days from the invoice date (NET30). If payment is not received within 30 days, Duelleum Trading Card Game (Kranowski Studios LLC) will contact the buyer to discuss next steps and may add the buyer to the waitlist for future availability.Sales Tax Exemption Form Requirement:
Duelleum (Kranowski Studios LLC) requests pre-order purchases provide their State Tax Exemption Form (Reseller Form), name varies state by state, to avoid being charged required Sales Tax. Duelleum reserves the right to charge the associated Sales Tax at a later date if the retailer does not provide their form, form is accepted by Duelleum, and Duelleum notices reseller within 30 days from their invoice date.Governing Law:
This invoice and all associated transactions are governed by the laws of the state of Minnesota, USA, and any disputes will be resolved under the jurisdiction of the appropriate courts in Carver County, Minnesota, USA.Ownership and Risk of Loss:
Delivery timelines for pre-order items are estimates and subject to change. While Kranowski Studios LLC will make best efforts to fulfill the pre-order as scheduled, delays may occur, and the buyer agrees that the actual delivery date may vary. The buyer acknowledges that no claims for damages will be made in the event of delays or changes in the product’s release.Limitation of Liability:
Seller's liability is limited to the cost of the goods sold. Seller shall not be liable for any indirect, incidental, or consequential damages arising from the sale, pre-order, or use of the products.Refunds and Cancellations:
By placing a pre-order with Duelleum Trading Card Game (Kranowski Studios LLC), you acknowledge that the funds provided may be used in the development and production of the product. In the event that Duelleum Trading Card Game (Kranowski Studios LLC) is unable to fulfill the pre-order due to the failure of the project (e.g., the game is unable to be completed, produced, or delivered), no refunds are obligated; however, best efforts will be made to refund stores if financially possible.
Returns and Damages:
All pre-order sales are final. Products must be inspected upon receipt. Any damaged or defective items must be reported within 14 days of delivery for an exchange or credit. While Duelleum Trading Card Game (Kranowski Studios LLC) is not obligated to provide a refund, we will do our best to accommodate requests for refunds or exchanges for damaged products, depending on the maturity of project and the availability of resources. Returns are subject to approval.
Ownership and Risk of Loss:
Ownership of the goods transfers to the buyer upon full payment. Risk of loss or damage to the products transfers to the buyer upon delivery, and the buyer assumes all responsibility for the products, including any loss, damage, or theft. Kranowski Studios LLC is not liable for any loss or damage once the goods are delivered. Any discrepancies must be reported within 14 days of delivery; failure to do so waives the right to seek compensation.Intellectual Property:
